1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the TradeProof platform, API, and related services (the "Service") operated by TradeProof ("we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms and our Privacy Policy.
If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of Service
TradeProof provides a contractor license and insurance verification platform that:
- Aggregates publicly available contractor license data from state licensing boards
- Provides license lookup and batch verification via API and web dashboard
- Monitors license status changes via watchlists with automated alerts
- Tracks insurance certificate compliance
- Delivers webhook notifications for status changes
3. Accounts and Access
3.1 Registration
You must provide accurate, complete information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
3.2 API Keys
API keys are confidential. You must not share, publish, or embed API keys in client-side code. You are responsible for all API usage under your keys. Compromised keys should be revoked immediately.
3.3 Organizations
Organization owners are responsible for managing member access, roles, and permissions. Removing a member does not retroactively revoke data they may have previously accessed.
4. Subscription and Billing
4.1 Plans and Pricing
The Service is offered in tiered plans (Free, Starter, Professional, Business, and Enterprise) with varying feature limits. Current pricing is displayed on our website and may be updated with 30 days' notice.
4.2 Payment and Auto-Renewal
Paid subscriptions are billed monthly via Stripe. By subscribing to a paid plan, you authorize recurring monthly charges to your payment method. Your subscription will automatically renew at the end of each billing period at the then-current rate until you cancel. We will send you a reminder email at least 7 days before each renewal with the amount to be charged, the renewal date, and instructions for how to cancel.
Failed payments may result in service suspension after a 7-day grace period.
4.3 Cancellation
You may cancel your subscription at any time through your account settings, the Stripe customer portal, or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. No partial refunds are provided for unused portions of a billing cycle.
5. Acceptable Use and Prohibited Purposes
Your use of the Service is subject to our Acceptable Use Policy. You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, or impair the Service.
5.1 FCRA Prohibited Uses
Important -- Consumer Reporting: TradeProof is not a Consumer Reporting Agency ("CRA") as defined by the Fair Credit Reporting Act, 15 U.S.C. 1681 et seq. ("FCRA"). The data and reports available through TradeProof are not "consumer reports" as defined by the FCRA.
You may not use the Service or any data obtained through the Service for any purpose governed by the FCRA, including but not limited to:
- Evaluating an individual for employment, promotion, reassignment, or retention
- Evaluating an individual for credit eligibility or credit terms
- Evaluating an individual for insurance underwriting or pricing
- Evaluating an individual for tenant screening or rental housing eligibility
- Any other purpose for which a "consumer report" may be used under 15 U.S.C. 1681b
The Service is designed for B2B commercial purposes only -- specifically, enabling general contractors and construction companies to check publicly available contractor license and insurance data in connection with business-to-business contracting decisions. Any use of the Service for consumer screening purposes is a material breach of these Terms and may result in immediate account termination and legal action.
6. Data and Service Disclaimers
6.1 Public Records Notice
Public Records: TradeProof aggregates and displays information obtained from publicly available government records maintained by state contractor licensing boards and other government agencies. This information is provided for convenience only and is not independently verified by TradeProof. Discrepancies should be reported to the relevant state licensing authority. Data shown reflects the status as of the date indicated and may not reflect subsequent changes.
TradeProof is not a substitute for direct verification with state licensing authorities. You must independently verify all compliance information through official sources before making business decisions.
6.2 Compliance Index Disclaimer
The TradeProof Compliance Index is an automated estimate calculated from publicly available government records. It is not a certification, guarantee, professional opinion, or regulatory determination regarding any contractor's fitness, qualifications, or compliance status. The Index is provided as a convenience tool only and should not be the sole basis for any business decision.
6.3 Monitoring Service Disclaimer
TradeProof performs periodic compliance checks based on publicly available government records at regular intervals (typically nightly). Monitoring is not real-time. TradeProof does not detect all compliance changes and may not identify changes between scheduled checks. You are responsible for independently verifying contractor compliance for critical decisions. TradeProof's total liability for monitoring services shall not exceed the fees paid by you in the twelve (12) months preceding the claim.
6.4 Insurance Certificate Disclaimer
Certificates of Insurance and other insurance documents displayed on TradeProof were submitted by the named insured or their representative. TradeProof has not verified the authenticity of these documents, confirmed coverage with the issuing insurer, or determined the adequacy of coverage for any particular purpose. TradeProof does not provide insurance advice and does not act as an agent, broker, or adjuster. Consult a licensed insurance broker for coverage recommendations.
6.5 No Legal or Professional Advice
Nothing provided through the Service constitutes legal, insurance, or professional compliance advice. The Service provides publicly available data for informational purposes only.
7. Intellectual Property
7.1 Our Property
The Service, including its design, code, algorithms, documentation, and trademarks, is owned by TradeProof and protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, or create derivative works of the Service.
7.2 Your Data
You retain ownership of data you upload to the Service (insurance certificates, organization data, etc.). You grant us a limited license to process this data solely to provide the Service.
7.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service may be used by us without obligation or compensation to you.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
- WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
- IN NO EVENT SHALL TRADEPROOF BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
- OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless TradeProof, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
10. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or for any reason with 30 days' notice. Upon termination:
- Your right to use the Service ceases immediately
- You may request export of your data within 30 days
- We may delete your data after the 30-day export window
11. Dispute Resolution
These Terms are governed by the laws of the State of Ohio, without regard to conflict of law provisions.
11.1 Binding Arbitration
Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association ("AAA"), except that either party may seek injunctive relief in court for intellectual property violations or to enforce the FCRA Prohibited Uses provisions of Section 5.1.
11.2 Class Action Waiver
IMPORTANT: YOU AND TRADEPROOF AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and TradeProof agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, consolidated, or representative proceeding.
11.3 Jury Trial Waiver
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND TRADEPROOF EACH WAIVE THE RIGHT TO A JURY TRIAL FOR ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.
11.4 Opt-Out
You may opt out of the arbitration and class action waiver provisions by sending written notice to [email protected] within 30 days of first accepting these Terms. Your notice must include your name, email address, and a clear statement that you wish to opt out of arbitration.
12. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and TradeProof.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Failure to enforce any right does not constitute a waiver of that right.
- Assignment: You may not assign your rights under these Terms without our consent.
- Modifications: We may modify these Terms with 30 days' notice. Continued use constitutes acceptance.
